 A.E. INDEPENDENT CONTRACTOR TERMS

We know you are awesome, but we've got to cover the legal stuff...

As an independent contractor, I agree to perform services on behalf of Awesome Family Entertainment LLC of 1250 Memory Lane N, Columbus, OH, 43209 (“AFE”) under the following terms:

  • To be scheduled for performances by AFE’s President/CEO, AFE’s Director of Sales or Talent Manager at a mutually acceptable time and place;
     
  • To be compensated by AFE at a rate mutually agreed upon prior to each performance;
     

  • To carry liability insurance that names AFE as an additional insured on that policy;
     

  • To obtain proper training, as determined by AFE’s President/CEO and policies of AFE’s Specialty Acts Division, before using AFE equipment in a performance;
     

  • To complete a thorough inspection of AFE equipment before using it;
     

  • To use AFE equipment at the Performer’s own risk;
     

  • To respond promptly to AFE communications — including phone, text and email — regarding performances on its behalf;
     

  • To report on time, ready to work as agreed, for each performance;
     

  • To act professionally at all times while representing AFE, including the manner of performing tasks, clearly communicating, being appropriately attired and groomed and at all times demonstrating a good work ethic and positive attitude;
     

  • To follow the policies and procedures set forth in the current version of AFE’s Specialty Acts/ Performers Handbook, which bind the Performer as they are in effect and updated for the duration of this independent contractor engagement, including the Performer’s signed agreement not to solicit AFE clients or employees, not to discriminate, not to disparage AFE, to uphold confidentiality, to safeguard AFE assets and, where applicable and agreed, not to compete.
     

This engagement will continue in effect until such time as AFE and/or the Performer agree to end this arrangement.  AFE may end its engagement of Performer for failure to perform duties as agreed, for unsatisfactory quality of work performance or if there is a lack of work for Performer. 

Performer may end this engagement with a minimum two (2) week notice, which AFE may waive if no events have been scheduled for Performer.  When this engagement ends, Performer will immediately return any equipment or other property to AFE, if any, and AFE will pay any fees or compensation owed to Performer within thirty (30) days.

 

This independent contractor agreement, as well as all related terms and conditions, shall be governed by Ohio law.  All parties consent to settle disputes related to this agreement through arbitration administered by the American Arbitration Association.  Parties to this agreement hold that it is reasonable, valid and enforceable; if any term, condition or provision is held unenforceable or voided by a court of competent jurisdiction, the parties intend that such a ruling in no way impairs or invalidates the remaining provisions.
